PART I: TERMS OF SERVICE
1. Acceptance of Terms
By creating an account, accessing, or using the Marcom Nexus web application located at https://marcomnexus.app (the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you (the "User" or "Customer") and Marcom Company ("Marcom Nexus," "we," "us," or "our"). If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
2. Account Registration and Security
2.1 Registration: To access the Service, you must provide accurate, current, and complete information during the registration process.
2.2 Credential Security: You are responsible for safeguarding your password and any specific Access Codes provided to you. You agree not to disclose your credentials to any third party outside of your authorized organization. You are fully responsible for any activities or actions under your account, whether or not you have authorized such activities or actions.
3. Use of Services and Media Database
3.1 Permitted Use: Marcom Nexus grants you a non-exclusive, non-transferable right to use the Service for your internal business operations, including accessing the Media Database, managing invoices, and utilizing workflow tools.
3.2 Media Database Usage: The Media Database contains contact information for journalists and media professionals. You agree to use this data strictly for legitimate public relations and professional communication purposes.
3.3 Prohibited Activities: You agree NOT to:
- Use the Media Database to harass, stalk, threaten, or spam journalists or media contacts.
- Resell, redistribute, or republish data obtained from the Media Database.
- Attempt to reverse engineer the Service or scrape data via automated means.
4. Billing, Fees, and No Refunds
4.1 Subscription Fees: Services are billed in advance on a subscription basis (monthly or annually) as selected by you.
4.2 No Refunds: All sales are final. Marcom Nexus does not offer refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. Once the Service has been accessed or used, the payment is non-refundable.
4.3 Invoicing: You are responsible for providing complete and accurate billing information to ensure timely payment processing.
5. Intellectual Property
5.1 Marcom Nexus Rights: We own all rights, title, and interest in and to the Service, including all intellectual property rights, code, databases, and functionality.
5.2 User Content: You retain ownership of any data, logos, or content you upload to the Service ("User Data"). You grant Marcom Nexus a worldwide license to use, host, and display User Data solely as required to provide the Service (e.g., placing your logo on generated PDF invoices).
6. Disclaimers (No Warranties)
6.1 "As Is" Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.
6.2 Media Database Accuracy: Marcom Nexus does not guarantee the accuracy, completeness, or timeliness of the contact information contained in the Media Database. Journalists frequently change roles; we are not liable for outdated information.
6.3 Technical Availability: We do not guarantee that the Service will function without interruption or be error-free.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Marcom Company, its directors, employees, or agents be liable for:
- Indirect Damages: Any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses.
- Business Interruption: Any harm to your business, missed deadlines, or operational failures arising from the use of, or inability to use, the Service.
- Data Issues: Errors, mistakes, or inaccuracies of content within the Media Database.
- Liability Cap: In no event shall Marcom Company's total liability to you for all damages, losses, or causes of action exceed the amount you have paid Marcom Company in the last six (6) months, or one hundred U.S. dollars ($100), whichever is greater.
8. Indemnification
You agree to defend, indemnify, and hold harmless Marcom Company and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- Your use and access of the Service, by you or any person using your account and password.
- A breach of these Terms.
- Third-Party Claims: Any claim that your use of the Media Database (e.g., harassment of a journalist, sending unsolicited spam) caused damage to a third party.
9. Dispute Resolution (Binding Arbitration)
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
9.1 Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by mandatory binding arbitration. The arbitration shall be conducted by a single arbitrator.
9.2 Venue and Rules: The arbitration shall take place in a location and under rules mutually agreed upon by both parties, or as determined by the arbitrator.
9.3 No Class Actions: You agree that any arbitration shall be conducted in your individual capacity only and not as a class action or other representative action.
10. Reporting Technical Issues
You agree to immediately report any data usage issues, bugs, unauthorized access, or technical problems to support@marcomnexus.com. Failure to report known issues that subsequently cause damage to the platform may result in termination of service and liability for damages.
PART II: PRIVACY POLICY
1. Introduction
Marcom Company ("we") respects your privacy. This Privacy Policy explains how we collect, use, and safeguard information when you use the Marcom Nexus platform.
2. Information We Collect
We collect the following types of information:
- Account Information: Name, email address, job title, and organization name.
- Billing Data: Credit card information and billing addresses (processed securely via our third-party payment processors).
- Usage Data: Information on how you interact with the Service, including IP address, browser type, and pages visited.
- User Content: Logos, client data, and notes you upload for workflow management.
3. How We Use Your Information
We use your information strictly to:
- Provide, operate, and maintain the Marcom Nexus platform.
- Process transactions and manage billing.
- Invoice Generation: We use your uploaded company logos specifically to generate PDF invoices for your clients.
- Communicate with you regarding updates, security alerts, and support.
4. Security and Audit Logging
4.1 Security Measures: We implement industry-standard security measures to protect your personal information.
4.2 Audit Logs: For security, accountability, and compliance purposes, Marcom Nexus maintains detailed Audit Logs of user actions. These logs include, but are not limited to:
- Timestamps of logins and logouts.
- History of data viewed or exported from the Media Database.
- Edits made to Client CRMs or internal notes.
- Identity of the user performing the action.
4.3 Retention: These logs are retained to ensure the integrity of the system and to investigate any potential misuse of the Service.
5. Data Sharing and Disclosure
5.1 No Sale of Data: We do not sell, trade, or rent your personal identification information to others.
5.2 Third-Party Service Providers: We may share data with trusted third-party service providers (e.g., hosting partners, payment processors) strictly for the purpose of helping us operate the Service.
